Who we are

These terms govern your purchase of the Hermes AI Setup Service from Code Powder Ltd., a company registered in England and Wales. By completing payment you agree to these terms in full.

References to "we", "us", and "our" mean Code Powder Ltd. References to "you" and "your" mean the individual or entity making the purchase.

The service

The Hermes AI Setup Service is a one-time professional setup service. For a single fee of £199, we will:

  • Provision and configure a private virtual server in your hosting account
  • Install and configure the Hermes AI agent software on that server
  • Connect your chosen LLM provider (OpenRouter, Anthropic, or OpenCode)
  • Configure your Telegram bot as the interface to your assistant
  • Deliver a handover document covering credentials, access, and operation

Any additional configuration — including third-party integrations, workflow components, or customisation specific to your use case — is discussed and agreed with you directly via Telegram after the base installation is complete. This conversation is how we establish what is useful for you specifically, and forms the basis of any further work included within the setup.

No integrations or components are promised upfront beyond the base install. We will not bolt things on without understanding how you intend to use your assistant. That conversation happens after you are onboarded.

The service does not include ongoing management, maintenance, updates, or monitoring of your server or AI instance after setup is complete and handed over. These are available separately.

Everything runs in your accounts. The server is in your hosting account. AI usage is billed to your LLM provider account. The Telegram bot is registered to your Telegram account. We do not own, operate, or have ongoing access to any of these after handover.

Payment

The fee for the Hermes AI Setup Service is £199 (one hundred and ninety-nine pounds sterling), payable in full at the time of booking via our Stripe-powered checkout.

Payment must be received and confirmed before any setup work begins. Your chosen start slot is not reserved until payment is complete.

All prices include VAT where applicable. A payment receipt will be issued automatically by Stripe to your email address on completion.

Refunds and cancellations

Because this is a professional service delivered by a human being, our refund policy reflects the nature of the work involved.

  • Before setup has begun: If you cancel before we have commenced any setup work, we will issue a full refund at our discretion. Contact us at hello@codepowder.com as soon as possible after booking.
  • Once setup has begun: No refund is available once we have commenced work. Work is considered to have begun from the point at which we start provisioning your server or configuring your accounts — typically within a few hours of receiving your credentials.
  • If we cannot complete the setup: In the rare event we are unable to complete the setup for reasons within our control, we will either complete the work at a rescheduled time or issue a full refund. We will communicate with you throughout.

Nothing in these terms affects your statutory rights under applicable UK consumer law.

Your responsibilities

The Hermes AI Setup Service requires you to complete three steps before we can begin work. These are your responsibility and cannot be completed on your behalf for legal and security reasons.

  • 01Create and verify an account with your chosen hosting provider (e.g. Hetzner, DigitalOcean, or similar). This account must be in your name and funded with a valid payment method.
  • 02Create an account with your chosen LLM provider (e.g. OpenRouter, Anthropic, or OpenCode) and generate an API key.
  • 03Create a Telegram bot via @BotFather and retain the bot token.

You agree to share these credentials with us via our secure credential submission process. We will use them solely to complete your setup. You are responsible for ensuring the accuracy of the credentials you provide.

Delays caused by incomplete, incorrect, or delayed credential submission are not our responsibility and do not affect the no-refund policy once setup has begun.

Third-party costs

The £199 fee covers our setup labour only. You are solely responsible for all third-party costs associated with running your Hermes instance, including but not limited to:

  • Hosting costs payable directly to your VPS provider (typically £5–15/month)
  • AI usage costs payable directly to your LLM provider (typically £10–30/month depending on usage)
  • Any costs associated with third-party integrations or services you choose to connect

We make no representations as to the ongoing pricing, availability, or reliability of any third-party service. Third-party providers may change their pricing, terms, or model availability at any time. This is outside our control and does not entitle you to a refund of our setup fee.

Data and credentials

You will share access credentials with us during the setup process. We handle these with care and in accordance with the following commitments:

  • We use your credentials solely to complete the setup you have paid for
  • We do not store your credentials beyond the period required to complete setup
  • We do not share your credentials with any third party
  • Once setup is complete, you should rotate any credentials shared with us
  • Your data, conversations, and files on your server remain entirely under your control at all times

Your personal data (name, email address) collected at the point of booking is used to process your order and communicate with you about your setup. We do not sell or share this data with third parties for marketing purposes.

Intellectual property

The Hermes agent software is open-source software. We install and configure it on your behalf but do not own it. Your use of Hermes is subject to its own licence terms.

Any configuration, documentation, or materials we produce specifically for you as part of your setup are yours after handover. We retain no claim over them.

Our general methodologies, templates, and internal processes remain our intellectual property.

Limitation of liability

To the fullest extent permitted by law, Code Powder Ltd. shall not be liable for:

  • Any loss of data, revenue, profit, or business arising from your use of the Hermes assistant after handover
  • Any interruption, degradation, or termination of service by your hosting provider, LLM provider, Telegram, or any other third party
  • Any security incident arising from your management of the server, credentials, or accounts after handover
  • Any actions taken by the AI assistant, including responses, drafts, or automated actions taken on your instruction
  • Any indirect, consequential, special, or punitive damages of any kind

Our total aggregate liability to you in connection with these terms and the services provided shall not exceed the amount you paid us, being £199.

Nothing in these terms limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.

After setup

Once your setup is complete and handed over, you are the sole operator of your Hermes instance. You are responsible for its maintenance, updates, security, and ongoing running costs.

We communicate with customers after setup via Telegram. We are here if you have questions and will always do our best to help. The nature and extent of any post-handover support is at our discretion and is not guaranteed as part of the £199 fee. We will tell you clearly if a request falls outside what we can assist with at no charge.

Governing law

These terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If any provision of these terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

We reserve the right to update these terms from time to time. The version in force at the time of your purchase applies to that purchase.
